Closing a Vineyard Transaction

The vineyard transaction closing is where the deal becomes real: a defined sequence of conditions, notifications and funds between compromis and deed. Between the preliminary contract and the final signature lies a defined sequence of conditions to satisfy, notifications to make and funds to move. Managed properly, it is orderly; managed loosely, it is where good deals stall.

From compromis to deed

A French vineyard sale runs in two acts. The compromis (or promesse) is the binding preliminary contract that fixes the terms subject to conditions. The acte authentique — the notarial deed — is the final transfer, signed before a notaire once every condition is met. The gap between them, typically two to four months, is the closing period.

Conditions precedent

The compromis lists the conditions that must be satisfied before completion. Common ones include:

  • SAFER notification and the expiry of its pre-emption window,
  • due diligence confirmation, or resolution of any findings,
  • financing, where a loan condition was agreed,
  • regulatory approvals relevant to the structure (including, for share deals, the Loi Sempastous),
  • and any consents specific to the estate.

Each condition has an owner and a deadline; tracking them is the substance of closing management.

The role of the notaire

The notaire conducts the transfer: verifying title, collecting the SAFER waiver and other clearances, preparing the deed, and handling the funds and registration. In France there is no completion without the notaire, and their checks are a safeguard for both sides.

Funds and final steps

At the deed, the price (and any adjustment agreed after due diligence) is paid through the notaire, the transfer is registered, and possession passes. For a working estate, practical handover — keys, records, staff, stock, ongoing contracts — is coordinated around the signing so the estate continues to run.

In practice

Closing is a checklist executed under a clock: satisfy each condition, observe the SAFER window, let the notaire do their verification, and move the funds correctly. The discipline is in the tracking. This article identifies the steps and is not legal advice; the notaire and your advisers handle the legal execution.
