Buy-side Advisory — Supporting the buyer

Buy-side advisory at VITACEAE means identifying and acquiring off-market wine estates, Champagne houses or vineyard land on behalf of a buyer, from target sourcing to closing, with sector due diligence coordinated with the buyer's legal and tax advisors.

Three benchmarks. In Champagne, the prevailing market value of one hectare of vines ranges from €947,000 in the Aube to €1,689,000 in the Côte des Blancs (2025 official price schedule, Journal officiel of 19 August 2026 — VITACEAE Market Data). In Burgundy, a Côte-d'Or premier cru white plot is valued at €2,700,000/ha and a premier cru red at €1,150,000/ha under the same schedule (Burgundy vineyard prices). Only 0.63% of Champagne vineyard surfaces changed hands in 2025 (SAFER): access depends on network, not listings (buying a vineyard in France: the sequence).

VITACEAE provides no legal, tax or wealth-planning advice: the firm coordinates the transaction with your notary, lawyer and accountant, whose analyses remain decisive.

Searching for a vineyard on a listings portal and mandating an M&A adviser to identify and secure an off-market acquisition are two unrelated approaches. The first gives access to what is already on the market; the second opens the door to estates that are not publicly for sale — often the best opportunities.

Buy-side Advisory means representing the buyer: framing the project, running a confidential screening, qualifying targets, conducting rigorous sector due diligence and structuring the deal through to closing. The buyer remains anonymous for as long as they wish; the firm carries the approach.

Our value lies in a technical reading of the vineyard and knowledge of the Champagne and Burgundy fabric: adviser network, weak signals of sale, command of rural-law constraints. We identify the risks of an acquisition; the buyer's dedicated advisers draw the legal and tax consequences.

Our buy-side methodology

  1. Brief calibration — surface area, appellations, budget, operating project, asset horizon.
  2. Off-market screening — network activation, weak-signal reading, discreet adviser outreach.
  3. Qualified targets — structured files, first reads of value and feasibility.
  4. Sector due diligence — technical and legal audit beyond the accounts.
  5. Structuring & negotiation — vehicle choice, conditions precedent, term sheet, deal management.
  6. Closing — coordinating the parties through to signing and handover.

Sector due diligence: what buyers underestimate

  • Vineyard health status (wood diseases, viruses)
  • Vine age, planting density, grape varieties
  • Historical yields and consistency
  • Farm leases in place: residual term, rent, clauses, tenant rights
  • Plot mapping against the land registry
  • Environmental certification (HVE, organic conversion)
  • Planting rights and authorisations
  • Condition and value of operating equipment

Structures supported

  • Direct land acquisition
  • Share deals (SCEV, GFA)
  • Co-investor / operator structures
  • GFV (vineyard land grouping)
  • Acquisition with split ownership

Frequently asked questions

Why appoint a buy-side adviser rather than search alone? Portals only show what is already on the market. A buy-side adviser activates off-market screening and gives access to estates that are not publicly for sale.
What does off-market mean in a wine transaction? Deals conducted outside the public market, without advertising, through direct approach and network. This discretion protects the value of the estate and the position of the parties.
What does sector due diligence on a vineyard cover? Plant-health condition, age and planting density, historical yields, farm leases, plot mapping, HVE/organic compliance, planting rights and the condition of equipment.
Which acquisition structures are possible? Direct purchase of the land, share deal (SCEV, GFA), co-investor/operator arrangements, GFV and acquisition with split ownership (usufruct / bare ownership).
