A vineyard estate is rarely held in one name. Land, operation, equipment and stock usually sit in three or four stacked companies, and the question that governs value is not which form was chosen — it is who may enter, who must approve, and who may pre-empt.
“GFV” is not a legal category
The term groupement foncier viticole is used constantly and appears nowhere as a distinct legal form. What exists is the groupement foncier agricole, a GFA holding vineyard land; “GFV” is a commercial label for it. Reading a marketing document as though it named a separate regime is a common and expensive error.
Natural persons only
A rule of composition governs the whole subject and is widely overlooked: a GFA is a company formed between natural persons. A corporate vehicle cannot simply subscribe. For an institutional investor, that single line determines whether an envisaged structure is possible at all.
A surface ceiling
The holding is capped at thirty times the minimum surface for affiliation — a regional figure, not a national one. Above it, the structure no longer qualifies.
Four filters on share transfers
Shares in these vehicles do not circulate freely. Four filters stack: the approval clause in the articles, the pre-emption rights of existing members, the share-transfer control introduced by the Sempastous law, and, where the operation is recharacterised, the SAFER's own right. They apply cumulatively, on different timetables, and each has to be cleared.
What the corporate form does not achieve
Holding land through a company does not neutralise the agricultural lease, does not remove the tenant's pre-emption right, and does not exempt a change of control from authorisation. It organises ownership and succession; it does not create an exemption.
