Sell-side Advisory — Supporting the seller

Selling a wine estate is not a real-estate listing. It involves a family asset, an operating business, a brand, stocks and, often, several generations of know-how. Sell-side Advisory means supporting the seller end to end — from the decision to sell through to closing — following a structured M&A methodology and absolute confidentiality.

Where a listing exposes the estate to the market, our approach protects it. We work exclusively off-market: no publication, no open distribution, a restricted number of qualified buyers approached one by one. This discretion preserves the value of the estate and the seller's negotiating position.

Our distinctiveness lies in combined economic and technical expertise: oenological reading of the vineyard, knowledge of French rural law (farm leases, SAFER, structures control), sworn-broker practice and commercial-court experience. We identify the issues of a transaction; the seller's dedicated advisers — notary, lawyer, accountant — draw the legal and tax consequences.

Our six-phase approach

  1. Framing — understanding the seller's project, family and asset constraints, price and timing objectives.
  2. Preparation — independent multi-scenario valuation, data room, anonymisation, risk review before going to market.
  3. Confidential marketing — targeted approach of qualified buyers through our network. Anonymised teaser, then information memorandum under NDA.
  4. Negotiation — managing expressions of interest, controlled competition, discussion of terms and conditions precedent.
  5. Structuring — choice of vehicle (assets or shares), articulation of the farm lease, stocks, equipment and transition support.
  6. Closing — coordinating the parties through to signing and transition, including transitional estate management where needed.
