Two documents carry a confidential sale — the teaser and the vineyard information memorandum — one opening the door, the other revealing the estate in full. One opens the door without revealing who is behind it; the other lets a committed buyer understand the estate in full. Used well, they protect the seller and qualify the buyer at the same time.
The teaser: interest without identity
The teaser is a short, anonymous document — often a page or two — designed to interest a qualified buyer without identifying the seller. It sketches the essentials: region and appellation, approximate size, the nature of the asset (land, working estate, maison), and the broad opportunity. Crucially, it omits anything that would reveal which estate is for sale. It is the instrument that lets an intermediary approach the market discreetly.
The confidentiality step
A buyer who responds to the teaser signs a confidentiality agreement (NDA) before receiving more. This is the gate that protects the seller: only vetted, committed parties pass through it, and they do so bound to discretion.
The information memorandum: the full picture
For buyers past the NDA, the information memorandum (IM) sets out the estate in depth: the land and its classification, parcels and areas, production and any brand, the holding structure, historical figures, leases, stock, and the perimeter of what is for sale. It is the document on which a buyer forms a real offer, and it should be accurate, complete and well-organised — a poor IM invites low offers and endless questions.
How they fit the process
The teaser and IM sit at the front of the sale process, before offers and the letter of intent. Together they do two jobs: they generate qualified interest while protecting the seller's identity, and they give serious buyers what they need to bid with conviction. A structured data room then supports the due diligence that follows.
In practice
The teaser interests the market anonymously; the NDA filters it; the information memorandum equips the committed buyer to make a real offer. Prepared with care, they are what makes a discreet, competitive vineyard sale possible. This article describes the documents' role and is not legal advice.
